Terms of Service

1Acceptance of Terms

By requesting a quote, placing a deposit, or otherwise engaging Mirai Trading 合同会社 (Mirai Trading LLC, “Mirai Trading,” “we,” “us”) to source, purchase, or export a vehicle on your behalf, you (“customer,” “you”) agree to these Terms of Service. If you do not agree, do not place a deposit or proceed with an order.

2Description of Service

Mirai Trading is a licensed used-vehicle export broker based in Noda, Chiba, Japan (Prefectural Public Safety Commission Used Vehicle Dealer License No. 441080002435). We source vehicles on your behalf from Japanese auction houses, arrange inspection and export documentation, and arrange shipping to your destination country. We do not manufacture vehicles and do not hold retail inventory in the way a conventional dealership does — each order is sourced against your specific requirements through auction access. 3Quotes and Pricing

A quote is based on the specific vehicle identified to you (by auction sheet, chassis number, and available condition photos) and current auction access at the time the quote is given. A quote is not a binding offer to sell a specific vehicle at a fixed price until an agreement is confirmed and a deposit is received under Section 4. Auction prices are determined by competitive bidding and are outside our control; final purchase price may vary from an estimate provided before bidding.

4Deposit and Purchase Authorization

A deposit of 30% of the agreed price secures the identified vehicle and authorizes Mirai Trading to bid on and purchase it at auction on your behalf. A purchase agreement summarizing the vehicle, price, deposit, timeline, and applicable terms will be provided before or at the time of deposit.

If Mirai Trading is unable to complete the purchase for any reason attributable to us or the auction process — including being outbid, the vehicle becoming unavailable, or any other issue on our side — the deposit is refunded in full.

5Balance Payment

The remaining balance is due within 14 days of the vehicle’s auction purchase, while it remains in Japan, by Wise Business or bank wire transfer. Mirai Trading proceeds with shipping arrangements only once payment is confirmed received and settled.

A 7-day grace period follows the due date. If the balance remains unpaid after the grace period expires, Mirai Trading reserves the right to resell the vehicle to recover costs incurred, and will refund any surplus above those costs to the original customer.

6Cancellation

If you cancel after the vehicle has been purchased at auction but before the balance is paid, the deposit is refunded minus verifiable costs already incurred (including auction and inspection fees). The same treatment applies if the balance is not received and no cancellation notice is given: only actual, verifiable incurred costs are deducted, and the remainder of the deposit is refunded.

7Condition, Inspection, and Acceptance

Each vehicle is checked against its original auction sheet, an independent third-party inspection (fee disclosed in advance), and Mirai Trading’s own condition photos and notes, all of which are shared with you before final payment while the vehicle remains in Japan. This is your opportunity to review the vehicle’s documented condition and raise any concern before shipment.

Once the vehicle departs Japan, this condition record is final. No further condition claims may be raised with Mirai Trading after departure. Damage occurring during ocean transit or customs handling is a matter for cargo insurance and the applicable clearing agent, not a matter covered by Mirai Trading under these Terms. Customers are strongly encouraged to confirm cargo insurance coverage before shipment.

8Shipping and Documents

Once the balance is settled, Mirai Trading arranges transport to the shipping yard, loading, and Bill of Lading, with status updates at each stage. A digital copy of export documents is provided at the time of shipment, followed by physical originals sent by insured courier (Yamato or DHL). If a document shipment is lost in transit, Mirai Trading covers the cost and handles reissue at no additional cost to the customer.

Payment for both deposit and balance is accepted only via Wise Business or bank wire transfer.

9No Guarantee of Import, Registration, or Road-Use Eligibility

Mirai Trading can source a vehicle and prepare accurate Japan-side export documentation, but Mirai Trading does not control and cannot guarantee any destination country’s import approval, customs clearance, vehicle registration, safety/emissions certification, or road-use eligibility. These decisions rest solely with the relevant government authority, customs body, or registration agency in your destination country or region. It is the customer’s responsibility to confirm import and registration eligibility for the specific vehicle before placing a deposit. This is consistent with the guidance given throughout Mirai Trading’s published vehicle-import guides.

10Limitation of Liability

To the maximum extent permitted by applicable law, Mirai Trading’s total liability to you arising out of or relating to an order is limited to the amount actually paid by you for that order. Mirai Trading is not liable for indirect, incidental, or consequential losses, including loss of profit, loss of use, or costs arising from import, registration, or customs delays or refusals outside our control.

Mirai Trading is not liable for the acts, omissions, delays, or losses caused by independent third parties engaged in fulfilling an order — including auction houses, inspection providers, shipping lines, freight forwarders, customs brokers, and courier services — beyond what these Terms otherwise expressly provide (for example, the document-reissue commitment in Section 8).

11Force Majeure

Mirai Trading is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, port or shipping disruptions, customs or regulatory changes, auction house disruptions, or carrier failures. Affected timelines will be extended as reasonably necessary, and the customer will be notified.

12Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan.

Venue/dispute-resolution mechanism to be confirmed with counsel — e.g., exclusive jurisdiction of a named Japanese court, or an arbitration clause. A default such as “the courts of Chiba Prefecture, Japan” has deliberately not been asserted here, since venue and dispute-resolution mechanism for a cross-border consumer/B2B contract is a real legal choice, not a formality.

13Changes to These Terms

Mirai Trading may update these Terms from time to time. The version in effect at the time a deposit is placed governs that order. The date at the top of this page reflects the last update.
